TERMS AND CONDITIONS

Introduction
Welcome to Good Game Sporting. We provide a mobile application and related services that help sports enthusiasts connect—by enabling users to create, discover, and join local sporting events and to engage socially through posts, stories, comments, and messaging. We also offer a paid subscription feature called “League” that allows teams to form, track records (including wins, losses, and disputed games), and view rankings across the United States.
These Terms and Conditions (the “Terms”) are a legally binding agreement between you and Good Game Sporting (“Good Game Sporting,” “we,” “us,” or “our”). They govern your access to and use of our app, website, and related services (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY. BY DOWNLOADING, ACCESSING, OR USING ANY PART OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES. IF YOU ARE USING THE SERVICES ON BEHALF OF AN ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND THAT ORGANIZATION, AND “YOU” INCLUDES THAT ORGANIZATION.
Important notice about real-world activity: Our Services facilitate real-world sporting meetups and gameplay that may involve physical contact, travel, and other risks. You are solely responsible for your decisions to participate, your safety, and your conduct. We do not supervise, officiate, or control events, teams, or participants.
1. Parties; Acceptance; Updates to These Terms
1.1 Who we are.
The Services are operated by Good Game Sporting.

1.2 Acceptance and binding agreement.
By creating an account, subscribing to League, downloading the app, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies we incorporate by reference (including our Privacy Policy).
1.3 If you do not accept.
If you do not agree to these Terms, you must not access or use the Services.
1.4 Changes to the Services and Terms.
We may update the Services and these Terms from time to time, including for legal, safety, operational, or feature changes. We will post the updated Terms with a new effective date. If changes are material, we may provide additional notice (for example, in-app notice). Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the revised Terms.
1.5 App store terms.
If you download the app from the Apple App Store or Google Play, your use is also subject to the applicable third-party platform terms and conditions. If there is a conflict between those platform terms and these Terms regarding your relationship with us, these Terms govern to the extent permitted.
2. Definitions
For purposes of these Terms:
2.1 “Account” means your registered user account for the Services.
2.2 “App” means the Good Game Sporting mobile application.
2.3 “Content” means any text, images, photos, videos, audio, messages, posts, stories, comments, ratings, and other information.
2.4 “Event” means any real-world sporting game, meetup, practice, challenge, or activity created, promoted, listed, joined, or otherwise facilitated through the Services.
2.5 “League” means the paid subscription feature that enables eligible users to form teams, track results (including disputed games), and view rankings and related League features.
2.6 “Subscription” means the recurring monthly paid plan for League offered through Apple or Google, as applicable.
2.7 “Team” means a group created within League, and “Coach/Captain” means the team-designated leader or representative within the Services.
2.8 “User Content” means Content you submit, post, upload, transmit, or otherwise make available through the Services.
2.9 “We,” “us,” and “our” refer to Good Game Sporting. “You” and “your” refer to the person accessing or using the Services.
2.10 Interpretation.
Headings are for convenience only and do not affect interpretation. “Including” means “including without limitation.” If we provide examples, they are illustrative and not exhaustive.
3. Eligibility;
3.1 Age requirement (strict).
The Services are intended only for users who are 18 years of age or older. By accessing or using the Services, you represent and warrant that you are at least 18.
3.2 No minors.
If we learn or reasonably suspect that you are under 18, we may suspend or terminate your Account immediately and take any other actions we deem appropriate, including reporting as required by law.
3.3 U.S.-only availability.
The Services are offered for use by users located in the United States. We may limit availability, functionality, or access based on geography or other criteria.
3.4 Compliance with law.
You agree to use the Services in compliance with all applicable laws, rules, and regulations, including those relating to safety, conduct, and venue access.
4. Accounts; Security; Your Responsibilities
4.1 Registration and accuracy.
To access certain features, you must create an Account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for all activity under your Account.
4.2 Account security.
You are responsible for maintaining the confidentiality of your login credentials and for restricting access to your device. If you believe your Account has been compromised, you must notify us promptly at:
4.3 One user; no misuse.
You may not:
(a) create Accounts using false identities or information;
(b) impersonate another person;
(c) share or transfer your Account without our permission; or
(d) use automated means (bots, scrapers) to access or interact with the Services without our prior written consent.
4.4 Device and connectivity.
You are responsible for obtaining and maintaining compatible devices, software, and internet access. We do not guarantee that the Services will function on all devices or networks.
5. Our Role as a Platform
5.1 Platform only.
We provide a platform that allows users to connect, communicate, and coordinate Events and League-related activity. We do not organize, operate, supervise, referee, officiate, or control Events and we do not direct or manage users’ conduct.
5.2 No agency or employment relationship.
You acknowledge that:
(a) users are not our employees, agents, contractors, partners, or representatives; and
(b) we are not your agent, and you are not our agent.
5.3 No endorsement or screening.
We do not guarantee the identity, character, skill, qualifications, intent, or conduct of any user. We do not guarantee that Events are safe, lawful, permitted by a venue, or accurately described. You are solely responsible for evaluating and accepting the risks of interacting with other users and participating in Events.
5.4 Not emergency services.
The Services are not an emergency response system. If you have an emergency or feel unsafe, call 911 (or local emergency services) immediately.
6. Events and Real-World Meetups
6.1 User-organized activities.
Events are created, hosted, and attended by users. The user who creates or hosts an Event is responsible for:
(a) providing accurate Event details;
(b) selecting an appropriate location and time;
(c) ensuring the Event complies with venue rules, permits, and applicable laws; and
(d) setting and communicating any rules, expectations, or requirements for participants.
6.2 Your responsibility to assess and decide.
You are solely responsible for deciding whether to create, host, join, attend, or participate in any Event. Before participating, you should consider appropriate precautions, including (as applicable) equipment, hydration, warmups, medical readiness, travel safety, and whether the venue and conditions are suitable.
6.3 No guarantee of attendance or outcomes.
We do not guarantee that any Event will occur as planned, that other users will show up, that an Event will be competitive or safe, or that any outcome will be recorded accurately.
6.4 Venue rules; property rights.
You may not trespass, disrupt venues, or violate property rules. You must obtain any required permissions and comply with all posted rules and laws. We are not responsible for venue access, closures, restrictions, or enforcement actions by third parties.
6.5 Communications and disputes in real-world play.
You agree to conduct yourself responsibly and respectfully. If a disagreement arises during an Event, you should disengage and prioritize safety. We may, but are not obligated to, provide reporting tools and enforcement actions under these Terms.
7. Assumption of Risk for Sports Activity, Meetups, and Use of Location-Based Features
7.1 Inherent risks of sports and physical activity.
You acknowledge that participating in sports, athletic activity, and real-world meetups involves inherent risks, which may include serious bodily injury, illness, disability, paralysis, death, property damage, and other losses. These risks may arise from, without limitation: physical exertion, contact with other players, equipment use, environmental conditions, weather, uneven surfaces, and travel to and from Events.
7.2 Risks from other users and third parties.
You acknowledge risks arising from interactions with other users and third parties, including unsafe conduct, aggressive behavior, harassment, impaired participants, and unpredictable actions.
7.3 Location-based risks and accuracy.
The Services may use your device location to help you view, create, or discover Events. You acknowledge that location data and mapping features may be inaccurate or unavailable and that using location-based services may create additional risks, including travel risks and meeting unfamiliar individuals in unfamiliar places.
7.4 Voluntary participation; responsibility.
You voluntarily choose to use the Services and to participate in any Event. You assume all risks associated with your use of the Services and participation in Events, to the fullest extent permitted by law. You are responsible for your health and fitness to participate, and for obtaining medical advice if needed.
7.5 No insurance obligation.
We do not provide health, accident, or liability insurance for users. You are solely responsible for maintaining any insurance you consider necessary.
8. Release and Waiver of Liability
8.1 Release of claims.
To the fullest extent permitted by applicable law, you hereby release and forever discharge Good Game Sporting and its past, present, and future parents, subsidiaries, affiliates, and each of their respective officers, directors, employees, contractors, agents, successors, and assigns (collectively, the “Company Parties”) from any and all claims, demands, causes of action, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) of any kind, whether known or unknown, arising out of or related to:
(a) your access to or use of the Services;
(b) your participation in any Event or interaction with any other user or third party;
(c) any injury, illness, death, or property damage occurring in connection with an Event;
(d) any acts or omissions of other users, Event organizers, venue owners/operators, or any third party; and
(e) any user-generated content, communications, or disputes between users.
8.2 Scope; sports-related risks emphasized.
You acknowledge that the Services facilitate real-world sports activity and meetups and that injuries may occur even with precautions. This release is intended to be as broad and inclusive as permitted by law and applies to claims based in contract, tort (including negligence), strict liability, or any other theory of liability.
8.3 Unknown claims.
You understand and agree that you may later discover facts different from or in addition to those you now know or believe to be true. Nevertheless, you intend to fully, finally, and forever settle and release all matters within the scope of this Section 8.
8.4 State law limitations.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
9. Safety Rules; Prohibited Conduct; Event Integrity
9.1 Your duty to act safely and lawfully.
You agree to use the Services and participate in Events responsibly, safely, and in compliance with all applicable laws, venue rules, and common-sense safety practices.
9.2 Prohibited conduct (non-exhaustive).
You may not, and you may not encourage or enable others to:
(a) threaten, harass, abuse, stalk, intimidate, or harm any person;
(b) engage in fighting, violent behavior, or reckless conduct at or in connection with an Event;
(c) bring weapons to Events (to the fullest extent permitted by law and venue rules), or use the Services to facilitate unlawful activity;
(d) participate while impaired by drugs or alcohol in a manner that creates risk to others;
(e) discriminate or engage in hateful conduct based on protected characteristics;
(f) share another person’s private information (doxxing) or invade privacy;
(g) impersonate any person or misrepresent affiliation;
(h) manipulate, falsify, or attempt to game records, outcomes, rankings, or disputes within League;
(i) interfere with, disrupt, or damage the Services, including through malware, unauthorized access attempts, scraping, or automated activity; or
(j) violate any other policy, guidance, or reasonable instruction we provide relating to safety, integrity, or lawful use.
9.3 Reporting and emergencies.
We may provide in-app tools to report users, Events, or content. Reporting does not guarantee action. If you are in immediate danger or require emergency assistance, call 911 (or local emergency services) and then, if appropriate, report within the Services.
9.4 Integrity measures.
To protect safety and platform integrity, we may (but are not obligated to) take actions including warnings, content removal, Event removal, feature restrictions, account holds, suspensions, or termination.
10. User Content; Community Standards; Moderation
10.1 Your responsibility for User Content.
You are solely responsible for your User Content and the consequences of posting or sharing it. You represent and warrant that you own or have all necessary rights and permissions to post your User Content and that it does not violate these Terms or applicable law.
10.2 Community standards (content restrictions).
You may not post, transmit, or make available any User Content that:
(a) is unlawful, fraudulent, or misleading;
(b) is defamatory, obscene, pornographic, or excessively violent;
(c) constitutes hate speech, harassment, or threats;
(d) infringes intellectual property, privacy, publicity, or other rights of any person;
(e) contains malware, malicious code, or harmful instructions;
(f) solicits illegal activity; or
(g) we reasonably determine undermines user safety, platform integrity, or the intended community experience.
10.3 Moderation rights; no duty to monitor.
We may, but are not required to, review, monitor, or remove User Content. We reserve the right to remove or restrict access to any User Content or suspend/terminate any Account at any time if we reasonably believe it violates these Terms, poses a safety risk, or could expose the Company Parties to liability.
10.4 Preservation and disclosure.
We may preserve, access, and disclose information (including User Content and related records) if we believe it is reasonably necessary to: comply with law or legal process; enforce these Terms; respond to claims; investigate fraud or safety incidents; or protect the rights, property, or safety of the Company Parties, our users, or the public.
11. Messaging, Chat, and Communications Between Users
11.1 User-to-user communications.
The Services may include direct messaging and other communication features. You are solely responsible for your communications and interactions with other users. We do not guarantee the identity, intentions, or behavior of any user.
11.2 Prohibited messaging conduct.
You may not use messaging features to:
(a) send spam, chain messages, or unsolicited promotions;
(b) harass, intimidate, threaten, or coerce;
(c) solicit sexual services, exploit others, or share non-consensual intimate content;
(d) request or share sensitive personal information in a way that creates safety risk; or
(e) attempt to move users into unsafe situations.
11.3 Safety tools.
We may provide blocking, reporting, and other safety tools. You are responsible for using these tools and exercising appropriate judgment when communicating or meeting others.
11.4 No guarantee of delivery or retention.
We do not guarantee message delivery, timing, storage, or availability. Message content may be deleted, delayed, lost, or corrupted for technical or operational reasons.
12. User Content License to Us; Feedback
12.1 License grant.
By submitting, posting, uploading, transmitting, or otherwise making available any User Content through the Services, you grant Good Game Sporting a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to host, store, reproduce, distribute, publicly perform, publicly display, adapt, modify, translate, create derivative works from, and otherwise use your User Content solely for the purposes of operating, improving, marketing, and providing the Services (including displaying your content to other users consistent with your settings).
12.2 Moral rights and waivers.
To the extent permitted by law, you waive and agree not to assert any “moral rights” or similar rights you may have in your User Content against the Company Parties.
12.3 Likeness and third-party permissions.
If your User Content includes images or recordings of other persons, you represent and warrant that you have obtained any necessary permissions and releases (including, where applicable, for the use of name, image, or likeness).
12.4 Feedback.
If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use them without restriction or compensation, and without any obligation to you.
13. Intellectual Property; App License; Restrictions
13.1 Our intellectual property.
Except for User Content, the Services and all related content, software, code, designs, trademarks, logos, and proprietary materials are owned by or licensed to Good Game Sporting and are protected by intellectual property laws.
13.2 Limited license to you.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.
13.3 Restrictions.
You may not (and may not permit any third party to):
(a) copy, modify, or create derivative works of the Services;
(b) reverse engineer, decompile, or attempt to extract source code (except where prohibited by law);
(c) access the Services to build a competing product;
(d) scrape, crawl, or use automated means to access the Services without our express written permission;
(e) circumvent security or access controls; or
(f) use our trademarks or branding without prior written consent.
13.4 Reservation of rights.
All rights not expressly granted to you are reserved by Good Game Sporting.
14. Location-Based Features; Permissions; Accuracy
14.1 Location as a core feature.
Certain features of the Services rely on your device location (for example, to help you discover, view, and create Events in your area). By enabling location permissions, you authorize us to use location information as described in these Terms and our Privacy Policy.
14.2 Permission controls.
You can manage location permissions through your device settings. If you disable location permissions or limit access, some features may not function properly or at all.
14.3 No guarantee of accuracy or availability.
Location data, maps, and related features may be inaccurate, delayed, incomplete, or unavailable. We do not guarantee that location-based listings reflect real-time conditions, precise distances, or safe routes. You are responsible for verifying Event details and using safe judgment when traveling or meeting others.
14.4 Prohibited location misuse.
You may not spoof, falsify, or manipulate location information, nor use location-based features to stalk, harass, or endanger others. We may suspend or terminate Accounts for suspected misuse.
15. Advertising; Promotions; Third-Party Services and Links
15.1 Advertising.
We may display advertisements and promotional content within the Services (including in user feeds/walls). The manner, mode, and extent of advertising are subject to change. Except as expressly stated by us, the display of advertisements does not imply endorsement, sponsorship, or recommendation of any advertiser, product, or service.
15.2 Third-party services and content.
The Services may integrate or link to third-party services (including app store platforms, mapping services, analytics providers, payment processing via Apple/Google, and advertising networks). Any third-party services are provided solely as a convenience. We do not control and are not responsible for third-party services, content, policies, practices, or availability.
15.3 Third-party terms.
Your use of third-party services may be governed by separate terms and privacy policies of those third parties. You are responsible for reviewing and complying with them.
15.4 Promotions.
If we offer promotions, discounts, trials, or similar programs, they may be governed by additional terms disclosed at the time of the offer. We may modify or end promotions at any time to the extent permitted by law.
16. League Feature; Teams; Authority of Coaches/Captains
16.1 League is a paid feature.
“League” is a paid subscription feature made available through the Services. League functionality, eligibility, and feature sets may vary by platform and may change over time.
16.2 Team formation and roles.
League may allow users to form Teams and designate a Coach/Captain. You acknowledge and agree that the Coach/Captain may have additional authority or controls in connection with Team administration, including (as applicable) inviting/removing participants and submitting or responding to results.
16.3 Team governance is user-managed.
Teams are user-managed. We do not manage Team membership, playing time, rules of play, or interpersonal disputes. You are solely responsible for your decision to join a Team and your interactions with Team members.
16.4 No guarantee of rankings, participation, or matchmaking.
League rankings, records, and related displays are provided for informational and entertainment purposes and may be affected by user inputs, disputes, data errors, and delays. We do not guarantee that rankings are accurate, complete, current, or suitable for any particular purpose.
17. League Results, Score Submission, and Disputed Games
17.1 Score submission workflow.
For League-enabled activity, one Team’s Coach/Captain may submit scores to the opposing Team’s Coach/Captain through the Services. The opposing Coach/Captain will have the opportunity to accept or dispute the submitted scores within the time window made available in the Services.
17.2 24-hour response window; auto-approval.
Unless otherwise specified in-product, the opposing Coach/Captain has 24 hours after receipt of a submitted score to accept it or dispute it. If the opposing Coach/Captain takes no action within that period, the score may be treated as accepted and automatically approved.
17.3 Disputes and “disputed game” status.
If a submitted score is disputed, the opposing Coach/Captain may submit the score they believe is correct back to the submitting Coach/Captain, who may then accept or dispute. If the score remains disputed, the game may be marked as disputed (including via a “disputed game counter” or similar indicator) and may be reflected in Team records as displayed in the Services.
17.4 No obligation to resolve disputes; platform discretion.
You acknowledge that we are not an officiating body and do not supervise gameplay. We are not obligated to investigate, adjudicate, or resolve disputed games. However, to protect platform integrity, we may take action in our discretion, including:
(a) requesting additional information;
(b) removing or adjusting records where we reasonably believe fraud, manipulation, or misuse occurred;
(c) restricting League features for Teams or users; or
(d) suspending or terminating Accounts for integrity violations.
17.5 Integrity and fair use.
You agree not to falsify results, collude, manipulate rankings, or otherwise misuse League features. We may impose reasonable safeguards and limitations to prevent abuse.
17.6 No prizes.
At this time, League does not offer prizes, monetary rewards, or guaranteed benefits beyond access to the League features made available through the Services. If prizes or rewards are introduced, they will be governed by additional terms.
18. Subscriptions; Billing; App Store and Google Play Purchases
18.1 Subscriptions are sold through platform providers.
League subscriptions are purchased through the Apple App Store and/or Google Play (each, a “Platform Provider”). The Platform Provider is responsible for billing and payment processing for in-app purchases and subscriptions processed through its platform.
18.2 Auto-renewal; authorization.
When you purchase a Subscription, you authorize the applicable Platform Provider to charge your selected payment method on a recurring basis (e.g., monthly) until you cancel, in accordance with the Platform Provider’s terms and your subscription settings.
18.3 Managing and cancelling a Subscription.
You must manage and cancel your Subscription through your Platform Provider account settings (not through Good Game Sporting), including any cancellation timing and renewal controls. Cancellation generally prevents future renewals but does not retroactively cancel the current billing period (subject to the Platform Provider’s rules).
18.4 Pricing and taxes.
Prices, billing intervals, and applicable taxes or fees are displayed at the point of purchase and may vary by platform. We may change prices to the extent permitted by law and by Platform Provider rules (changes typically take effect at the next renewal cycle, subject to notice requirements imposed by the Platform Provider or law).
18.5 Failed payments; access restrictions.
If your Subscription is not successfully renewed for any reason (e.g., payment failure), we may suspend or limit your access to League features until the Subscription is active again.
18.6 No storage of full payment credentials.
We do not receive or store your full payment card details for Platform Provider purchases; payment information is handled by the Platform Provider under its own terms and privacy practices.
19. No Refunds; Cancellation Effects; Chargebacks
19.1 No refunds (policy statement).
Except where required by applicable law or mandated by a Platform Provider’s rules, all purchases are final and non-refundable, and we do not provide refunds or credits for partially used billing periods.
19.2 Cancellation and access to League benefits.
You may cancel your Subscription at any time through the Platform Provider. If you cancel, you will generally retain access to League features through the end of the then-current billing period (subject to Platform Provider rules). Access to League benefits is conditioned on an active paid Subscription; if your Subscription is inactive, League features may be restricted or unavailable.
19.3 Platform Provider controls certain refund outcomes.
You acknowledge that Platform Providers may have their own refund or dispute processes. If a Platform Provider elects to issue a refund, reverse a charge, or otherwise adjust a transaction in its discretion, we may correspondingly revoke or limit access to the applicable paid features.
19.4 Chargebacks and payment disputes.
Initiating a chargeback or payment dispute may result in immediate suspension of your access to paid features and/or your Account, to the extent permitted by law and Platform Provider rules, until the matter is resolved.
20. Service Availability; Changes; Beta Features
20.1 Availability not guaranteed.
We strive to provide a reliable service, but the Services are provided on an “as available” basis. We do not guarantee uninterrupted availability, error-free operation, or that the Services will meet your requirements.
20.2 Changes, updates, and feature modifications.
We may add, modify, suspend, or discontinue any aspect of the Services at any time, including Events, social features, League features, rankings logic, dispute workflows, and content display rules. We may also impose limits on certain features or restrict access to parts of the Services without notice, where reasonably necessary for security, safety, legal compliance, or operational reasons.
20.3 Beta/experimental features.
We may offer certain features as beta or experimental. Beta features may be incomplete, may change without notice, and may be discontinued. To the fullest extent permitted by law, beta features are provided “as is” and “as available.”
20.4 Maintenance and outages.
We may perform maintenance that results in service interruptions. We are not liable for any downtime, delays, or loss of functionality.
21. Suspension; Termination; Account Deletion
21.1 Your right to stop using the Services.
You may stop using the Services at any time. If you wish to delete your Account, you may follow the instructions within the Services (if available) or contact us at: Support@ggsporting.com
21.2 Our enforcement and termination rights.
We may suspend, restrict, or terminate your access to the Services (in whole or in part) at any time if we reasonably believe that:
(a) you violated these Terms or applicable law;
(b) your conduct poses a safety risk to others or threatens platform integrity;
(c) your Account is associated with fraud, abuse, or manipulation (including League integrity issues); or
(d) we must do so to comply with legal obligations or protect the Company Parties or users.
21.3 Effect of termination.
Upon suspension or termination, your right to access and use the Services will cease immediately. We may delete or restrict access to your Account and User Content to the extent permitted by law and consistent with our Privacy Policy.
21.4 Survival.
Sections that by their nature should survive termination will survive, including those relating to releases, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous legal terms.
22. Disclaimers of Warranties
22.1 “As is” and “as available.”
To the fullest extent permitted by law, the Services (including Events listings, user communications, content, League records/rankings, and all features) are provided “as is” and “as available,” with all faults and without warranties of any kind.
22.2 No warranties.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
22.3 No warranties regarding users, events, or outcomes.
We do not warrant or represent that:
(a) any user is who they claim to be;
(b) Events are safe, lawful, properly organized, or accurately described;
(c) any records, rankings, or dispute outcomes are accurate or complete; or
(d) the Services will be secure, error-free, or uninterrupted.
22.4 Some jurisdictions.
Some states do not allow certain disclaimers of warranties, so the above may not apply to you in full. In that case, warranties are limited to the minimum scope required by law.
23. Limitation of Liability
23.1 Excluded damages.
To the fullest extent permitted by law, the Company Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of, or inability to use, the Services, participation in Events, or interaction with other users, under any legal theory, even if advised of the possibility of such damages.
23.3 Allocation of risk.
You agree that these limitations are a fundamental part of the allocation of risk and an essential basis of the bargain between you and us.
23.4 Non-waivable rights.
Nothing in these Terms limits liability to the extent prohibited by applicable law.
24. Indemnification
24.1 Indemnity.
You agree to defend, indemnify, and hold harmless the Company Parties from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
(a) your use of the Services or participation in any Event;
(b) your interactions with other users or third parties;
(c) your User Content; or
(d) your violation of these Terms or applicable law.
24.2 Defense control.
We may assume control of the defense of any indemnified claim, and you agree to cooperate. You may not settle any such claim without our prior written consent if it imposes any obligation or liability on a Company Party.
25. Dispute Resolution; Governing Law; Miscellaneous
25.1 Governing law.
These Terms are governed by the laws of the state in which Good Game Sporting is headquartered, without regard to conflict-of-law principles, except as preempted by federal law.
25.2 Informal resolution (30 days).
Before initiating mediation or arbitration, the parties agree to attempt in good faith to resolve any dispute through informal discussions for thirty (30) days after written notice of the dispute.
25.3 Mediation.
If the dispute is not resolved informally, it shall be submitted to non-binding mediation, conducted in the state where Good Game Sporting is headquartered (or remotely by agreement), before arbitration may be initiated.
25.4 Binding arbitration.
Any dispute not resolved through mediation shall be finally resolved by binding arbitration before a single arbitrator, conducted on an individual basis only. Class or representative actions are not permitted.
25.5 Notices.
We may provide notices to you electronically or in-app. Legal notices to us must be sent to the contact information provided in the Services.
25.6 Severability and entire agreement.
If any provision is unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and us regarding the Services.
25.7 Force majeure.
We are not liable for delays or failures caused by events beyond our reasonable control.
